Acceptance of Terms

By accessing and using the services provided by pinotnyuez B.V. ("Company," "we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. These Terms of Service govern your use of our website, network services, and any related services provided by pinotnyuez. If you do not agree to abide by these terms, please do not use our services.

Company Information

Service Description

pinotnyuez provides professional network services including but not limited to network infrastructure design and implementation, cybersecurity solutions, cloud services, technical support, and related IT consulting services. The specific services provided to each client will be detailed in separate service agreements or statements of work.

User Obligations

By using our services, you agree to:

• Provide accurate and complete information when requested
• Use our services only for lawful purposes and in accordance with these terms
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorised access to any part of our services
• Comply with all applicable laws and regulations
• Respect the intellectual property rights of pinotnyuez and third parties
• Pay all fees and charges associated with your use of our services

Intellectual Property

All content, materials, and intellectual property associated with pinotnyuez services, including but not limited to software, documentation, designs, trademarks, logos, and proprietary methodologies, remain the exclusive property of pinotnyuez B.V. or our licensors. You are granted a limited, non-exclusive, non-transferable licence to use our services for their intended purpose. You may not copy, modify, distribute, sell, or lease any part of our services or included software, nor may you reverse engineer or attempt to extract the source code of our proprietary systems.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these terms. By using our services, you consent to the collection and use of your information as described in our Privacy Policy. We comply with the General Data Protection Regulation (GDPR) and applicable Dutch data protection laws.

Service Availability

While we strive to provide reliable and continuous service, pinotnyuez does not guarantee uninterrupted access to our services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. Scheduled maintenance will be communicated in advance when possible.

Payment Terms

Payment terms for services will be specified in individual service agreements. Unless otherwise agreed, invoices are due within 30 days of the invoice date. Late payments may incur interest charges as permitted by Dutch law. We reserve the right to suspend services for non-payment after appropriate notice.

Limitation of Liability

To the maximum extent permitted by Dutch law, pinotnyuez B.V. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of our services. Our total liability to you for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you to pinotnyuez in the twelve months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

Indemnification

You agree to indemnify, defend, and hold harmless pinotnyuez B.V., its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from your use of our services or your violation of these terms.

Termination

Either party may terminate the service relationship at any time with appropriate notice as specified in the relevant service agreement. pinotnyuez reserves the right to immediately terminate or suspend your access to our services if you breach these terms or engage in conduct that we determine to be harmful to our business or other users. Upon termination, your right to use our services will immediately cease, and we may delete any data associated with your account after a reasonable notice period.

Force Majeure

pinotnyuez shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, government actions, or internet service provider failures.

Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting on our website. Your continued use of our services after any such changes constitutes your acceptance of the new terms. We encourage you to review these terms periodically.

Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Netherlands. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the competent courts of Amsterdam, Netherlands. The parties agree that the United Nations Convention on Contracts for the International Sale of Goods shall not apply to these terms.

Severability

If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining terms will remain in full force and effect.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and pinotnyuez regarding the use of our services and supersede all prior agreements and understandings.
